Creating legal function from the scratch. Organization of overall legal support to whole activity of the company, including but not limited to: *Managing all legal affairs of the company, - Legal advice and support to projects of the company (participation in the decision-making process), negotiations with major customers on legal matters; -Unification and standardization of contractual work from analysis of contractual relationship to development and regular revision of standard contract terms and conditions for such type of contracts as sale, consignment, lease, insurance, agency agreements, NDA, Term sheets etc.), development of terms and condition and contract formation for atypical situations; -Corporate issues: communication with shareholders, preparation of AGM/EGM, BOD meetings; drafting and amending by-laws, registration of amendments with tax office; -Legal support to HR procedures; -Assistance to real estate projects (sale and purchase of real estate objects, lease); -Litigation (labor, contractual and tax disputes, bankruptcies), including strategy development, initiation of litigation process, preparation of claims, pleadings and other documents, appearance in court hearings, enforcement of judgments. * Managing compliance issues including compliance risk assessment. Working out compliance procedures in collaboration with senior management based in Tokyo. Legal and compliance training to the business units of the company. Reporting to Japanese management. *Supervising credit control procedures. Managing the provision of legal advice from external lawyers upon necessity. *Managing local legal, HR and administrative team (currently 7 subordinates): standartization of working processes of subordinates, delegation of tasks and control of assignments etc.
